Terms of Service

1. Definitions

"Services" means all services offered by MooyVx including website design and development, professional photography, social media management, custom software development, AI & automation services, and any other services we provide.

"Website" means mooyvx.com and all subdomains including mooyvx-learn.pages.dev, mooyvx-tools.pages.dev, mooyvx-resources.pages.dev, 100ideas-mooyvx.webbnicwe.workers.dev, mooyvx-ai-tools-dev.webbnicwe.workers.dev, and portal.mooyvx.com.

"Client Portal" means the client dashboard at portal.mooyvx.com where clients manage their projects, invoices, and services.

"You" or "Client" means the person or entity using our Services.

"Content" means photos, videos, text, graphics, websites, software, and any other material created or provided by MooyVx.

"Project" means any specific service engagement between you and MooyVx.

"Deliverables" means the specific outputs, products, or results to be delivered as part of a Project.

"Third-Party Services" means any services, platforms, or tools provided by third parties that we use to deliver our Services.

"Social Media Platforms" means any social media or content sharing platforms integrated with our Services, including but not limited to TikTok, Instagram, Facebook, LinkedIn, Twitter/X, YouTube, Pinterest, and WhatsApp Business.

2. Quotations & Estimates

Validity: Quotations are valid for 14 days from the date of issue unless otherwise stated. Prices and packages are subject to change without notice.

Project Packages: Our current service packages and pricing are available at mooyvx.com/packages. These packages are dynamic and may be updated from time to time. The package selected at the time of your purchase will be honoured for your Project.

Payment: All standard packages require 100% payment upfront before work commences. For Custom Solutions (quote-based projects), a 50% deposit is required to secure your project slot, with the remaining 50% due upon completion and before final delivery.

Exclusions: Quotations do not include domain name registration, hosting, or third-party software licenses unless explicitly stated.

3. Scope Creep Policy

⚠️ What is Scope Creep?

Scope creep occurs when the magnitude of a project exceeds or "creeps" past the boundaries of its original goals and objectives. This results in additional work being performed without additional compensation.

Common Examples of Scope Creep:

Adding additional pages beyond the agreed scope
Requesting unlimited revisions or design changes
Adding new features or functionality after the project has started
Requesting content writing, copywriting, or SEO services not included
Social media account set up and management
Blogging services or periodic updates
Fresh images, galleries, or slideshows
Repeated meetings or consultations beyond the initial scope

Our Approach to Scope Creep:

All Projects are defined by a clear scope of work in the initial agreement or quote.
Any work requested outside the agreed scope will be treated as additional work and charged separately at our standard hourly rate of R420 per hour.
We will notify you in writing before commencing any out-of-scope work and seek your agreement on the additional cost and timeline impact.
If scope creep becomes excessive, we reserve the right to pause the Project and renegotiate the terms.

4. Content & Deliverables

Client Responsibilities:

You must supply all required content (text, images, logos, branding) within 7 working days of deposit payment.
Content must be supplied in an editable digital format (Word, TXT, or similar). Images must be high quality (minimum 300 dpi).
You are responsible for ensuring you have the copyright for all material supplied.
We are not responsible for content accuracy, spelling, or grammatical errors – please proofread carefully.

⚠️ Content Delay Policy: If you do not supply content within 15 days of payment, the full project balance becomes due and payable. If content is not supplied within 40 days, a continuation fee of 15% of the total project price will be charged for each month until the project is completed.

Deliverables:

Deliverables are as specified in your project agreement or quote.
Two rounds of minor revisions are included per project. Additional revisions are charged at R420 per hour.
Major changes (including changes to the look and feel, page layouts, or functionality) are considered out-of-scope and will be quoted separately.

Approval & Sign-off:

We will provide a preview link for your review and feedback.
Once you provide final approval, the project is considered complete.
Any changes after final approval will be charged at our standard rate.

5. Hosting & Maintenance

Hosting Services:

Hosting is provided as a separate service and is not included in website development packages unless explicitly stated.
Monthly hosting fees must be paid on or before the 1st of each month.
Payments not received by the 3rd of the month will result in suspension of hosting services.
A reactivation fee of R450 will be charged for reinstatement of suspended services.
Hosting cancellations require 30 days' written notice to support@mooyvx.com.

Maintenance & Security:

We take reasonable security precautions on all websites we host.
However, we cannot guarantee prevention of hacking, viruses, or data loss – you acknowledge that no website is 100% secure.
Regular maintenance is your responsibility unless you have a maintenance agreement with us.
We are not liable for damages resulting from hacking, viruses, or data loss.

6. Social Media Integration Terms

6.1 General Social Media Access

MooyVx Visual Studio offers integration with various social media platforms including but not limited to: TikTok, Instagram, Facebook, LinkedIn, Twitter/X, YouTube, Pinterest, and WhatsApp Business.
To use social media features, you must connect your social media accounts through our OAuth 2.0 flow or manual approval process.
You grant MooyVx permission to access your social media accounts solely for the purposes of:
- Posting content (text, images, videos) on your behalf
- Scheduling posts for future publication
- Retrieving engagement metrics and analytics
- Managing comments and interactions (if enabled)
- Connecting your gallery images to social posts
You may revoke MooyVx's access to any social media account at any time through your account settings on the respective platform.

6.2 Content Posting

You retain full ownership of all content posted through MooyVx to social media platforms.
You are solely responsible for ensuring that content posted through MooyVx complies with each platform's Community Guidelines and Terms of Service.
MooyVx is not responsible for any content restrictions, account suspensions, or bans imposed by any social media platform.
All content posted through MooyVx must be original or properly licensed. You warrant that you have all necessary rights to the content.

6.3 Data Access & Privacy

MooyVx accesses your social media account data only with your explicit consent via OAuth 2.0 or manual approval.
We store the following social media data securely:
- Access tokens (encrypted)
- Post content you create and schedule
- Engagement metrics (likes, comments, shares, views)
- Follower counts and growth data
We do not store your social media passwords. Authentication is handled through each platform's OAuth 2.0 flow.
Your social media data is stored in compliance with South Africa's Protection of Personal Information Act (POPIA).

6.4 Platform-Specific Notes

TikTok: Content is posted via the TikTok Content Posting API. Subject to TikTok's Developer Terms.
Instagram: Content is posted via the Instagram Graph API. Subject to Meta's Platform Terms.
Facebook: Content is posted via the Facebook Graph API. Subject to Meta's Platform Terms.
LinkedIn: Content is posted via the LinkedIn API. Subject to LinkedIn's Developer Terms.
Twitter/X: Content is posted via the Twitter API. Subject to Twitter's Developer Terms.
YouTube: Content is posted via the YouTube Data API. Subject to Google's Terms of Service.
Pinterest: Content is posted via the Pinterest API. Subject to Pinterest's Developer Terms.
WhatsApp Business: Messages and content are sent via the WhatsApp Business API. Subject to Meta's Terms.

6.5 No Guarantees

MooyVx does not guarantee specific follower counts, engagement rates, or sales conversions from social media content.
Social media platform algorithms and features are outside our control and may change at any time.
We are not liable for any loss of reach, engagement, or account standing resulting from platform changes.

6.6 Compliance with Platform Terms

By using MooyVx's social media integrations, you agree to comply with each platform's Terms of Service and Community Guidelines.
You are responsible for ensuring that your content does not violate any platform's policies.
MooyVx reserves the right to suspend social media integration for any account that repeatedly violates platform policies.

6.7 Termination of Social Media Integration

You may disconnect any social media account from MooyVx at any time via the client portal or your account settings on the respective platform.
Upon disconnection, we will delete all access tokens and cease all data collection for that platform.
Content already posted to a platform will remain on that platform and is subject to the platform's own content retention policies.

💡 Important: MooyVx is not affiliated with any social media platform listed above. All platforms are registered trademarks of their respective owners. All data is accessed and used in accordance with each platform's Developer Terms.

7. Photography Services

7.1 Booking & Deposit

A 50% non-refundable deposit is required to secure your booking.
The remaining balance is due upon delivery of the final images.

7.2 Cancellation Policy

Cancellations within 48 hours of the shoot forfeit the deposit.
Cancellations more than 48 hours in advance: deposit is refundable, minus a 15% admin fee.
Rescheduling is permitted with at least 48 hours notice, subject to availability.

7.3 Copyright & Usage

MooyVx retains full copyright and ownership of all raw and edited images created during photography services.
Upon full payment, the client receives a non-exclusive, perpetual license to use the final edited images for:
- Marketing and advertising campaigns
- Social media posts
- Website and blog content
- Print materials (brochures, flyers, posters)
- Client's general business purposes
MooyVx reserves the right to use all images in its portfolio, marketing materials, and social media channels for promotional purposes.
The client may not resell, sublicense, or claim ownership of the images.
The client may not use the images for any illegal, defamatory, or offensive purposes.

7.4 Model & Property Releases

You are responsible for obtaining any necessary model or property releases for subjects in your photos.
MooyVx is not liable for any claims arising from unauthorised use of likeness.

7.5 Delivery

Edited photos are delivered within 5-10 business days unless otherwise stated in your service agreement.
You will receive high-resolution digital images via a secure download link and MooyVx Client Portal.
Rush delivery (1-3 business days) is available at an additional 20% fee.

7.6 Reshoot & Satisfaction Policy

If you are unsatisfied with the final images, we will work with you to address reasonable concerns.
Refunds are not issued for dissatisfaction caused by factors outside our control (e.g., weather, location restrictions, subject availability).

7.7 Travel & Location

Photography services are primarily available in the West Coast region of South Africa, including:
- Langebaan
- Saldanha
- Velddrif
- St Helena Bay
- Paternoster
Travel outside this area may incur additional fees:
- Up to 50km: No additional charge
- 50-100km: R500 travel fee
- 100-200km: R1,000 travel fee
- 200km+: Quoted separately
Any travel costs and accommodation (if required) will be clearly communicated and agreed upon before booking.

7.8 Package Photography & Image Substitution

Fixed-Price Packages: Photography services included in fixed-price packages are subject to availability and location.
Location Restrictions: If your business is outside our service area (West Coast region) or we are unable to schedule a physical shoot within a reasonable timeframe, we reserve the right to:
- Use high-quality stock images that match your industry and brand
- Use AI-generated images created for your specific needs
- Use studio-created mockups or animations where applicable
Subscription Packages: For monthly subscription packages that include photography:
- You agree to provide reasonable access for photography shoots when required
- If a shoot is cancelled or rescheduled with less than 48 hours notice, the monthly content allocation may be fulfilled using stock or AI-generated alternatives
- Remote or virtual shoots may be arranged at our discretion
Quality Guarantee: All substitute images (stock, AI-generated, or studio-created) will be:
- High-resolution and professionally curated
- Relevant to your industry and brand identity
- Compliant with all copyright and licensing requirements
Client Responsibility: For packages that include photography, you agree to:
- Provide accurate location and availability information
- Ensure access to the location for photography shoots
- Notify us promptly of any changes or cancellations
No Refund for Substitution: The use of stock, AI-generated, or studio-created images in place of a physical shoot does not qualify for a refund, as the creative value and quality remain consistent.

7.9 Partner Photographers & Rights

MooyVx may engage partner photographers to fulfil photography services on our behalf.
Full Rights Transfer: All images captured by partner photographers are done so under a work-for-hire agreement. MooyVx acquires full, exclusive, perpetual rights to all images.
Partner photographers retain no rights to use, resell, or display the images without our written consent.
You will never receive a request for "additional usage fees" from partner photographers - we handle all licensing internally.

💡 Why We Do This: We want to deliver your package quickly and professionally. Sometimes a physical shoot isn't practical, but we never compromise on quality. Our stock and AI-generated images are curated to match your brand perfectly.

8. Custom Software & AI Tools

Intellectual Property: The code, design, and functionality of any software or tool we build remains our intellectual property unless otherwise agreed in writing.

Licensing: You receive a license to use the software for your business purposes. You may not resell, redistribute, or claim ownership of our code.

Third-Party Integrations: We may use third-party APIs, libraries, or services to deliver your software. We are not responsible for changes, discontinuation, or pricing changes of third-party services.

Open Source: Our software may include open-source components. You agree to comply with the associated open-source licenses.

Maintenance: We provide reasonable support for software we build. Ongoing maintenance fees may apply for significant updates or hosting.

"As-Is" Disclaimer: Software tools are provided "as is" without warranties of uninterrupted or error-free operation.

💡 AI Tool Disclaimer: Content generated by our free AI tools is for informational purposes only. You are responsible for reviewing and verifying all generated content before using it for your business.

9. Third-Party Services

We may use third-party services to deliver our Services, including but not limited to:

Cloud hosting and infrastructure providers
Payment processing platforms
Email and communication services
Social media platforms and APIs
Analytics and tracking services
Domain registrars

No Liability: We are not liable for any issues, interruptions, or data loss caused by third-party services. Your use of third-party services is subject to their own terms and conditions.

Recommendations: If we recommend a third-party service provider, you will enter into an agreement directly with them. We take no responsibility for their services.

10. Wheel of Fortune Terms & Conditions

🎡 Spin & Win - Promotional Game Rules

The MooyVx Wheel of Fortune ("the Game") is a promotional activity designed to reward visitors with discounts and vouchers. By participating, you agree to these terms.

10.1 Eligibility

The Game is open to all visitors of the MooyVx website.
One spin per person, per session, per device.
You must be 18 years or older to participate.
Employees of MooyVx Visual Studio (Pty) Ltd and their immediate family members are not eligible.

10.2 How It Works

MooyVx is not responsible for any technical issues that may prevent participation.
We are not liable for any loss or damage arising from the use of promo codes.
Vouchers are provided "as is" without any warranties.

10.9 Data Collection

We collect IP addresses and session IDs for anti-abuse purposes.
This data is stored securely and used only for game administration.

11. Affiliate Marketing

Your purchase through affiliate links is subject to the partner's terms and conditions

We disclose affiliate relationships where required by law. Any commissions earned help support our operations.

12. Idea Submission

If you submit any ideas, suggestions, or feedback ("Submissions") to us:

You grant us a worldwide, perpetual, royalty-free license to use, modify, and implement your Submissions
We are not obligated to compensate you for your Submissions
We may develop similar ideas independently without liability
You warrant that your Submissions do not infringe any third-party rights

We treat all Submissions as non-confidential unless a separate confidentiality agreement is in place.

13. Refund Policy

We stand behind the quality of our services. If you are not completely satisfied with your purchase, you may request a full refund within 14 days of the purchase date, subject to the conditions below.

* Subject to our Terms of Service. Refunds are processed within 7-10 business days.

When Refunds Apply:

✅ Full refund – If we have not started work on your project
✅ Full refund – If the initial deliverable does not meet the agreed scope
⚠️ Partial refund – If work has commenced but not completed (pro-rated based on work done)
❌ No refund – After 14 days from purchase date
❌ No refund – For completed and approved projects
❌ No refund – For domain registrations, hosting fees, or third-party services
❌ No refund – For custom development work that has been substantially completed

⚠️ No Refund for Terms Violations

If we terminate or suspend your access to the Services as a result of your breach of these Terms of Service (including but not limited to our Acceptable Use Policy in Section 26), or if there is reasonable evidence of service abuse, fraud, or violation of applicable laws, you will not be entitled to a refund of any portion of the fees paid.

In such cases, you will remain liable for any outstanding payments due to us.

📌 Your Statutory Rights: Nothing in this policy deprives you of your statutory rights under the Consumer Protection Act (CPA) of South Africa. You retain the right to return defective goods or services within six months of delivery as provided for under section 56 of the CPA, regardless of the 14-day money-back guarantee period.

However, please note that:

The CPA does not apply to goods or services that are custom-made or specifically tailored to your requirements
Defective goods or services must be returned within a reasonable time (generally within 6 months) after delivery

How to Request a Refund:

Explain the reason for your refund request
We will review your request within 2 business days
If approved, we will process the refund within 7-10 business days

Dispute Resolution: If you disagree with our refund decision, you may escalate the matter to the National Consumer Commission or the relevant industry ombudsman.

14. Payments & Fees

Payment Processing: Payments are processed securely through Stripe. We accept credit/debit cards and bank transfers (EFT).

Currency: All fees are quoted in South African Rand (ZAR).

Standard Packages: 100% payment upfront is required before work commences on any standard package.

Custom Solutions: A 50% non-refundable deposit is required to commence any custom project. The remaining 50% is due upon completion and before final delivery or launch.

Late Payments: Late payments may incur interest at 10% per month and may result in suspension of services.

Legal Costs: Failure to comply with payment terms may result in legal action. All legal costs will be for your account.

⚠️ Important: Deposits are non-refundable. Work-in-progress will be billed monthly for custom projects. All outstanding payments must be cleared before project completion or website launch.

15. Intellectual Property

All content on our website, including logos, text, graphics, images, and software, is the property of MooyVx Visual Studio (Pty) Ltd and protected by South African and international copyright laws. You may not reproduce, distribute, or create derivative works without our written permission.

⚠️ Content Theft: Content theft (unauthorised use or reproduction of our content) is a serious violation of intellectual property rights. We will pursue legal action against any unauthorised use of our content.

16. Warranties & Liability

Warranties:

We warrant that our Services will be performed with reasonable skill and care
We do not warrant that our Services will be uninterrupted, error-free, or secure
All other warranties, express or implied, are excluded to the fullest extent permitted by law
Websites and software are provided "as is"

Limitation of Liability:

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim
In no event shall our liability exceed R1,000 for free service users
We are not liable for any loss of data, revenue, or profits

⚠️ Important: You are solely responsible for maintaining backups of your website and data. We are not responsible for data loss.

17. Indemnification

You agree to indemnify and hold harmless MooyVx Visual Studio (Pty) Ltd, its employees, directors, and affiliates from any claims, damages, losses, or expenses arising from:

Your use of our Services
Violation of these Terms
Infringement of any third-party rights
Any content you provide or upload
Your conduct or communications

📌 Clarification on Our Role: When we act as a website developer, designer, or host, we do not assume ownership of or responsibility for the content you choose to publish on your website. We provide the tools and infrastructure; you are responsible for the content, its legality, and its compliance with all applicable laws, including the Cybercrimes Act and the Films and Publications Act.

18. Export Restrictions & Legal Compliance

You agree to comply with all applicable laws and regulations, including:

South African export control and sanctions laws
Data protection and privacy laws (including POPIA)
Intellectual property laws
Anti-spam and electronic communications laws

You may not use our Services for any unlawful purpose or in any jurisdiction where our Services are prohibited.

If you are outside South Africa, you are responsible for complying with your local laws.

19. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for conduct that violates these Terms or is harmful to other users. Upon termination, your right to use our services ceases immediately.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of the Western Cape, South Africa.

21. Changes to These Terms

We reserve the right to update these Terms at any time. The updated version will be indicated by an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.

22. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MooyVx regarding your use of our website and services, superseding any prior agreements.

24. Force Majeure

We shall not be liable for any failure or delay in supply or delivery of services where such failure or delay is wholly or partly due to any cause or circumstances whatsoever outside our reasonable control including but not limited to: war, strikes, lockouts, industrial disputes, government restrictions, transport delays, fire, power outages, failure attributable to hosting suppliers, breakdown of plant, theft, vandalism, riots, civil commotions, accidents of any kind, or act of terrorism.

25. Acceptable Use Policy (AUP)

This Acceptable Use Policy outlines activities that are strictly prohibited on our platforms and services. Violation of this policy may result in immediate termination of services and legal action.

25.1 Strictly Prohibited Activities

You are strictly prohibited from using the Services, our website, or any platform we provide (including hosting) to facilitate, promote, or engage in any of the following activities, which are illegal under South African law:

Child Sexual Abuse Material (CSAM): The creation, distribution, or hosting of any content depicting or promoting child sexual abuse or exploitation is strictly forbidden. We are legally obligated to report any such material to the South African Police Service (SAPS) and the Film and Publication Board (FPB).
Phishing, Malware, and Ransomware: The development, hosting, or distribution of any software or website designed to steal credentials, distribute viruses, or extort users is strictly prohibited under the Cybercrimes Act (Act 19 of 2020).
Revenge Porn & Non-Consensual Intimate Images: The hosting or distribution of non-consensual explicit images is a criminal offense under the Cybercrimes Act.
Hate Speech & Incitement to Violence: The promotion of hate speech, racism, or incitement to violence or damage to property is prohibited under the Cybercrimes Act and the Promotion of Equality and Prevention of Unfair Discrimination Act (PEPUDA).
Illegal Trade Marketplaces: The use of our Services for e-commerce sites selling unregistered firearms, illegal drugs, or facilitating human trafficking is strictly forbidden.
Unlicensed Gambling: You may not use our services to run online gambling or casino operations without holding a valid license from the relevant South African authorities, as required by the National Gambling Act.
Pyramid Schemes: The promotion or operation of pyramid schemes or "get rich quick" scams is strictly prohibited under the Consumer Protection Act (CPA) and the National Credit Act.
Unlicensed Financial Services: The provision of financial advice, lending, or cryptocurrency exchange services without the required FSCA license is prohibited.

25.2 Liability and Indemnification

You acknowledge and agree that you are solely responsible for the content and legality of your website, social media posts, and all materials you submit to us or publish through our Services. We act as a service provider and host.
